Safety Net Liability Terms

Section A: The "Scope & Exclusions" Clause

1. Scope of Maintenance Services WPG (“Service Provider”) agrees to provide maintenance services for the Agency Partner’s designated client websites. These services are limited to:

  • Regular updates of WordPress Core/Shopify Theme, Plugins, and PHP versions.
  • Uptime monitoring and daily/weekly backups.
  • Up to two (2) hours of technical troubleshooting per month per site.

2. Exclusions (What We Do Not Cover) The following are explicitly excluded from the fixed monthly fee and will be billed separately at our standard hourly rate:

  • Third-Party Failures: Repairing functionality broken by a third-party plugin update, theme developer abandonment, or API change (e.g., a payment gateway changing their code).
  • Hosting Downtime: Downtime caused by the hosting provider (e.g., GoDaddy, WPEngine) or domain registrar issues.
  • Pre-Existing Malware: Removal of malware or hacks that existed on the server prior to the start of this agreement.
  • Design Changes: Requests to change the layout, colors, or content of the website.

Section B: The "Limitation of Liability" (The Financial Cap)

3. Limitation of Liability To the fullest extent permitted by law, WPG shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, loss of revenue, loss of data, or business interruption, arising out of or related to the services provided.

4. Financial Cap In no event shall WPG’s total aggregate liability under this agreement exceed the total amount paid by the Agency Partner to WPG during the one (1) month period immediately preceding the event giving rise to the claim.

Section C: The "Indemnification" (The Anti-Lawsuit Field)

5. Indemnification The Agency Partner agrees to indemnify, defend, and hold harmless WPG and its employees/contractors from any and all claims, damages, or lawsuits brought by the End Client or any third party arising out of the services provided.

Since WPG has no direct contractual relationship with the End Client, the Agency Partner assumes full responsibility for all communications, expectations, and legal liabilities with the End Client.

Section D: The "White Label" & Access Clause

6. Authorization & Access The Agency Partner represents that it has authorized access to the End Client’s website and hereby grants WPG permission to access the backend, hosting, and file systems necessary to perform maintenance. The Agency Partner accepts full responsibility for any changes WPG makes to the End Client’s environment in the course of authorized maintenance.
